These Terms of Service ("Terms") govern your access to and use of the QuillPlot platform, including all associated features, tools, content, and services (collectively, the "Platform"). By accessing or using QuillPlot in any manner — including creating an account, browsing, or using any feature of the Platform — you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree to these Terms in their entirety, you must immediately cease all use of QuillPlot and must not access or use the Platform in any way.

SECTION 1 — ACCEPTANCE OF TERMS

1.1

By accessing, browsing, registering for, or otherwise using the QuillPlot Platform in any capacity, you unconditionally accept and agree to be bound by these Terms of Service, as well as any supplemental guidelines, policies, or rules that QuillPlot may publish from time to time in connection with the Platform, each of which is incorporated by reference herein.

1.2

Right to Modify. QuillPlot reserves the right, at its sole discretion, to amend, revise, supplement, or otherwise modify these Terms at any time. Such modifications shall become effective immediately upon posting of the updated Terms to the Platform, unless a later effective date is specified.

1.3

Notification of Material Changes. In the event of any material changes to these Terms, QuillPlot will provide notice to registered users via email to the address associated with their account, via in-app notification, or by both methods. It is the user's responsibility to maintain a current and valid email address in their account settings to receive such notices.

1.4

Continued Use as Acceptance. Your continued use of the QuillPlot Platform following the posting of any revised Terms or following delivery of notice of material changes shall constitute your binding acceptance of all such changes. If you do not agree to any modified Terms, you must discontinue use of the Platform immediately.

SECTION 2 — USER ELIGIBILITY

2.1

Age Requirements. You must be at least thirteen (13) years of age to access or use QuillPlot. If you are under the age of eighteen (18), your use of the Platform must be made with the knowledge, supervision, and express consent of a parent or legal guardian, who accepts these Terms on your behalf and assumes full responsibility for your use of the Platform.

2.2

Prior Bans and Suspensions. You represent and warrant that you have not been previously suspended, banned, or otherwise prohibited from accessing or using QuillPlot or any associated service.

2.3

Legal Capacity. You represent and warrant that you have the legal right, authority, and capacity to enter into these Terms and to be bound by their obligations.

2.4

Institutional and Organizational Accounts. Entities, organizations, companies, or educational institutions seeking to register accounts for organizational use are subject to additional eligibility requirements as outlined in any applicable QuillPlot Enterprise Agreement.

SECTION 3 — ACCOUNT RESPONSIBILITIES

3.1

Confidentiality of Credentials. You are solely responsible for maintaining the strict confidentiality and security of your account login credentials. You agree not to share your credentials with any third party.

3.2

Accuracy of Registration Information. You agree to provide accurate, current, and complete information at the time of account registration and to promptly update such information whenever it becomes inaccurate or incomplete.

3.3

Reporting Unauthorized Access. You must notify QuillPlot immediately upon becoming aware of any unauthorized use of your account or any breach of your login credentials.

3.4

One Account Per User. Each individual user is permitted to maintain only one (1) QuillPlot account unless QuillPlot has provided express written authorization for additional accounts.

3.5

User Responsibility for Account Activity. You are fully and exclusively responsible for all activity that occurs under your account, whether such activity is authorized by you or not, to the extent permitted by applicable law.

3.6

Suspension and Termination for Violations. QuillPlot reserves the right, at its sole discretion, to suspend, restrict, or permanently terminate any account that QuillPlot reasonably believes has violated or is in violation of these Terms.

SECTION 4 — ACCEPTABLE USE POLICY

As a condition of your access to and use of QuillPlot, you agree to comply with all applicable local, state, national, and international laws and regulations. You expressly agree that you will NOT use the Platform for any of the following prohibited purposes:

4.1

Using the Platform for any unlawful purpose, or in furtherance of any activity that is in violation of any applicable law, statute, regulation, rule, ordinance, or treaty.

4.2

Uploading, transmitting, or distributing any software or code designed to interrupt, damage, destroy, or impair the functionality of any computer system, including malware, viruses, worms, trojans, or ransomware.

4.3

Attempting to gain unauthorized access to any part of the QuillPlot Platform, QuillPlot's servers or infrastructure, or other users' accounts.

4.4

Using automated bots, scrapers, crawlers, or other automated means to access or harvest data from QuillPlot without express prior written consent.

4.5

Engaging in harassment, intimidation, bullying, stalking, threatening, or abusive conduct toward other users of the Platform or QuillPlot personnel.

4.6

Posting or distributing any content that is defamatory, obscene, pornographic, threatening, hateful, discriminatory, or otherwise objectionable or harmful to any individual or group.

4.7

Impersonating any person, entity, or QuillPlot employee, or misrepresenting your affiliation with any person or entity.

4.8

Using the Platform to create, transmit, or distribute unsolicited commercial communications ("spam"), chain letters, pyramid schemes, or any other form of unauthorized bulk messaging.

4.9

Reselling, sublicensing, renting, leasing, or otherwise commercially exploiting access to QuillPlot services or features in any manner not expressly authorized in writing by QuillPlot.

4.10

Enforcement. QuillPlot reserves the right to investigate any suspected violation of this Acceptable Use Policy and to take any action it deems appropriate in its sole discretion.

SECTION 5 — INTELLECTUAL PROPERTY

5.1

QuillPlot Proprietary Materials. The QuillPlot Platform and all content, features, functionality, branding, logos, trade names, service marks, software, source code, design elements, and documentation (collectively, "QuillPlot Materials") are the exclusive intellectual property of QuillPlot and are protected by applicable copyright, trademark, trade secret, patent, and other intellectual property laws.

5.2

User Content Ownership and License Grant. You retain ownership of any original content that you create, upload, publish, or otherwise submit to the Platform ("User Content"). However, by submitting User Content to QuillPlot, you grant QuillPlot a non-exclusive, royalty-free, worldwide, sublicensable, and transferable license to access, use, reproduce, display, distribute, store, adapt, and process your User Content solely as necessary to operate, maintain, improve, and provide the QuillPlot Platform and its services.

5.3

User Representations Regarding Content. You represent, warrant, and covenant that: (a) you own all rights to your User Content or have obtained all necessary permissions and licenses; and (b) your User Content does not infringe, misappropriate, or otherwise violate the intellectual property rights, privacy rights, or any other rights of any third party.

5.4

DMCA Compliance. QuillPlot respects the intellectual property rights of third parties and complies with the Digital Millennium Copyright Act ("DMCA"). If you believe that your copyrighted work has been infringed upon on the Platform, please contact QuillPlot at legal@quillplot.com.

5.5

Prohibition on Unauthorized Use. Unauthorized reproduction, duplication, copying, modification, distribution, public display, or creation of derivative works from QuillPlot Materials, without the express prior written consent of QuillPlot, is strictly prohibited.

SECTION 6 — AI-GENERATED CONTENT DISCLAIMERS

6.1

AI Features. QuillPlot may incorporate artificial intelligence-powered tools and features to assist users with content generation, writing suggestions, ideation, research assistance, summarization, editing, and other tasks (collectively, "AI Features"). The availability, scope, and functionality of AI Features may vary by subscription plan and may change over time.

6.2

"As Is" Provision; No Warranty of Accuracy. All AI-generated content is provided strictly on an "as is" basis. QuillPlot makes no warranty regarding the accuracy, completeness, reliability, currency, or fitness for a particular purpose of any AI-generated output. AI-generated content may contain inaccuracies, factual errors, outdated information, or logical inconsistencies.

6.3

User Responsibility to Review. You are solely and exclusively responsible for carefully reviewing, fact-checking, verifying, editing, and evaluating any AI-generated content before using, publishing, submitting, sharing, distributing, or otherwise relying upon it for any purpose. QuillPlot expressly disclaims any liability for harms arising from your failure to review AI-generated content.

6.4

Not Professional Advice. AI-generated content produced through QuillPlot does not constitute, and should not be construed as, professional legal, medical, financial, psychological, academic, or any other form of licensed professional advice.

6.5

Intellectual Property Risks of AI Outputs. QuillPlot does not represent, warrant, or guarantee that AI-generated content is original, non-infringing, or free from third-party intellectual property claims. You assume all risks and liabilities associated with your use of AI-generated outputs.

6.6

Continuous Improvement. QuillPlot uses aggregated, de-identified usage patterns — including the types of writing tasks performed and the quality of outputs selected — to improve the AI Features over time. Your individual content is never used to train third-party models without your consent.

SECTION 7 — ACADEMIC INTEGRITY AND INSTITUTIONAL RESPONSIBILITY

7.1

Nature of Platform. QuillPlot is a productivity and creative writing platform. Among other capabilities, it may provide users with access to AI-assisted writing, research, content generation, and editing tools intended to support and augment human creativity and productivity.

7.2

Sole User Responsibility for Institutional Compliance. Users are solely and exclusively responsible for ensuring that their use of QuillPlot — including, without limitation, their use of any AI-generated content, AI-assisted writing, or any other Platform feature — fully complies with the academic integrity policies, honor codes, codes of conduct, and all other applicable regulations of their educational institution, school, college, university, employer, or professional organization.

7.3

Disclaimer of Institutional Liability. QuillPlot expressly disclaims any and all responsibility for any academic misconduct, plagiarism violations, honor code infractions, disciplinary proceedings, academic penalties, probation, suspension, expulsion, employment consequences, or professional sanctions that may arise from a user's misuse of QuillPlot.

7.4

No Liability for Institutional Consequences. You acknowledge and expressly agree that QuillPlot cannot, and shall not, be held liable in any capacity for any academic, professional, institutional, disciplinary, or other consequences arising from your choice to use QuillPlot content in a manner that violates the policies of your institution or organization.

7.5

User's Own Determination. It is your sole responsibility to independently determine whether, and in what manner, QuillPlot may be appropriately and permissibly used within your particular institutional, academic, or professional context.

7.6

Indemnification for Institutional Misuse. You agree to indemnify and hold QuillPlot and its affiliates, officers, directors, employees, and agents fully harmless from and against any and all claims, demands, damages, losses, fines, penalties, costs, and expenses arising out of or relating to your misuse of the Platform in violation of any applicable academic, institutional, or organizational policy.

SECTION 8 — SUBSCRIPTION AND PAYMENT TERMS

8.1

Subscription Tiers. QuillPlot offers both free and paid subscription plans. The specific features, storage limits, AI Feature usage caps, and other capabilities available to you will depend on the subscription plan you select. QuillPlot reserves the right to modify the features included in any plan upon reasonable notice.

8.2

Billing Cycle and Pricing. Paid subscriptions are billed on a recurring monthly basis. Applicable subscription fees, taxes, and charges are clearly displayed to you during the checkout process before you complete your subscription.

8.3

Automatic Renewal. All paid subscriptions automatically renew at the end of each billing period at the then-current subscription rate, unless you cancel your subscription prior to the renewal date through your account settings.

8.4

Price Changes. QuillPlot reserves the right to change its subscription pricing at any time. In the event of a price increase, QuillPlot will provide you with at least thirty (30) days' advance written notice via email or in-app notification prior to the change taking effect.

8.5

Payment Failure. Failure to maintain a valid, active payment method on file with QuillPlot may result in interruption of your access to paid features, automatic downgrade of your account to the free tier, or suspension of your account.

8.6

Cancellation. You may cancel your paid subscription at any time by accessing your account settings. Cancellation will take effect at the conclusion of the current billing period; your paid access will continue until the end of that period.

SECTION 9 — REFUND POLICY

Important: Refund eligibility is strictly limited to the seven (7) calendar day window described in Section 9.1. Please read this section carefully before subscribing.
9.1

Seven-Day Refund Window. Users who subscribe to a paid QuillPlot plan for the first time are eligible to request a full refund of their initial subscription payment, provided that the refund request is submitted to QuillPlot within seven (7) calendar days of the initial subscription signup date. After this seven (7) calendar day window has elapsed, all payments are considered final and non-refundable, except where otherwise required by applicable law.

9.2

How to Request a Refund. To request a refund within the eligible window, you must contact QuillPlot Support at support@quillplot.com within the seven (7) calendar day period, providing your registered account email address and the reason for your refund request.

9.3

Late Requests. Refund requests submitted after the expiration of the seven (7) calendar day window will not be honored and will not be processed, except in jurisdictions where applicable consumer protection law mandates a different outcome.

9.4

Refund Processing Time. Approved refunds will be credited back to the original payment method used at the time of purchase. Processing times may take between five (5) and ten (10) business days to appear on your statement.

9.5

One Refund Per User. Each user is eligible for a maximum of one (1) refund under this refund policy. Users who have previously received a refund from QuillPlot are not eligible for a second refund on any subsequent subscription.

SECTION 10 — LIMITATION OF LIABILITY

10.1

Exclusion of Consequential Damages. To the fullest extent permitted by applicable law, QuillPlot, including its officers, directors, employees, shareholders, affiliates, licensors, agents, contractors, and successors, shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages of any kind, including but not limited to loss of profits, revenues, data, business opportunities, or goodwill.

10.2

Aggregate Liability Cap. To the fullest extent permitted by applicable law, QuillPlot's total cumulative liability to you for all claims of any kind arising under or related to these Terms or the Platform shall not exceed the greater of: (a) the total amounts actually paid by you to QuillPlot during the twelve (12) month period immediately preceding the event giving rise to the claim; or (b) one hundred United States dollars (USD $100.00).

10.3

"As Is" and "As Available" Disclaimer. QuillPlot provides the Platform and all services strictly on an "as is" and "as available" basis, without any warranties of any kind, whether express, implied, statutory, or otherwise.

SECTION 11 — INDEMNIFICATION

11.1

You agree to indemnify, defend (at QuillPlot's option), and hold harmless QuillPlot and its affiliates, parent companies, subsidiaries, officers, directors, shareholders, employees, contractors, agents, licensors, and successors from and against any and all claims, demands, proceedings, liabilities, judgments, damages, losses, costs, and expenses, including but not limited to reasonable attorneys' fees and court costs, arising out of or relating to: (a) your access to or use of the QuillPlot Platform; (b) any User Content that you create, upload, publish, submit, or transmit through the Platform; (c) your actual or alleged breach or violation of any provision of these Terms; or (d) your actual or alleged infringement, misappropriation, or violation of any rights of any third party.

SECTION 12 — PRIVACY

12.1

QuillPlot's collection, use, storage, sharing, and processing of personal information and other data submitted by or collected from users in connection with the Platform is governed by QuillPlot's Privacy Policy, which is incorporated into and made a part of these Terms of Service by reference in its entirety.

12.2

By accessing or using QuillPlot, you acknowledge that you have read and understand QuillPlot's Privacy Policy and consent to the data collection and processing practices described therein.

12.3

SECTION 13 — TERMINATION

13.1

Termination by QuillPlot. QuillPlot may, in its sole discretion and without prior notice or liability to you, suspend, restrict, or permanently terminate your account and your access to the Platform at any time and for any reason, including but not limited to your violation of these Terms.

13.2

Termination by User. You may terminate your account at any time by following the account deletion process in your account settings or by contacting QuillPlot Support at support@quillplot.com.

13.3

Effect of Termination. Upon any termination of your account: (a) your right to access and use the Platform will immediately cease; (b) QuillPlot may, in its discretion, delete your account data and User Content, subject to applicable law; and (c) provisions of these Terms that by their nature should survive termination shall so survive, including Sections 5, 7, 9, 10, 11, 14, and 15.

SECTION 14 — GOVERNING LAW AND DISPUTE RESOLUTION

14.1

Governing Law. These Terms of Service and any dispute, controversy, or claim arising out of or relating to these Terms, your use of the Platform, or the relationship between you and QuillPlot shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America.

14.2

Good-Faith Negotiation. Before initiating any formal dispute resolution process, the parties agree to attempt in good faith to resolve any dispute through informal negotiation with at least thirty (30) days' written notice.

14.3

Binding Arbitration. If any dispute cannot be resolved through good-faith negotiation, such dispute shall be finally and exclusively resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") in accordance with its then-current rules. The arbitration shall be conducted in the English language, seated in the State of Delaware.

14.4

Class Action Waiver. You and QuillPlot each expressly and irrevocably waive any right to participate in any class action lawsuit, class-wide arbitration, or any other representative or consolidated proceeding of any kind. All disputes must be brought solely in your individual capacity.

SECTION 15 — MISCELLANEOUS

15.1

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms.

15.2

Entire Agreement. These Terms of Service, together with QuillPlot's Privacy Policy and any other policies or agreements expressly incorporated by reference herein, constitute the entire and exclusive agreement between QuillPlot and you with respect to the subject matter hereof.

15.3

No Waiver. QuillPlot's failure to enforce any right or provision of these Terms on any occasion shall not constitute a waiver of such right or provision in the future.

15.4

Assignment. You may not assign, transfer, delegate, or sublicense any of your rights, obligations, or interests under these Terms without QuillPlot's prior written consent. QuillPlot may freely assign or transfer any or all of its rights and obligations under these Terms without restriction.

15.5

Force Majeure. QuillPlot shall not be liable for any failure or delay in performance of its obligations under these Terms resulting from causes beyond QuillPlot's reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, government action, labor disputes, internet outages, or failures of third-party service providers.

By creating an account or using QuillPlot, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
